These Terms of Service ("Terms") govern your access to and use of the website [www.randysvault.com] (the "Website") and any digital content, licenses, products, or services offered by Randy's Vault LLC ("Randy's Vault," "we," "us," or "our").

Please read these Terms carefully before accessing or using our Website or purchasing any licenses. By accessing or using our Website or purchasing a license, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services.

1. Definitions:

• "Licensee," "You," "Your": Refers to the individual or entity who purchases a license from Randy's Vault LLC.

• "Licensor," "We," "Us," "Our": Refers to Randy's Vault LLC.

• "Website": Refers to [www.randysvault.com].

• "Digital Downloads," "Images," "Content": Refers to the sports card reviews, card set reviews, stock photos, and any other digital content available for licensing and download from Randy's Vault LLC.

• "License": Refers to the limited, non-exclusive, non-transferable, and revocable right granted by Randy's Vault LLC to the Licensee to use specific Digital Downloads, as defined in these Terms.

2. Acceptance of Terms:

By accessing or using any part of the Website, or by purchasing any License from Randy's Vault LLC, you signify your irrevocable acceptance of and agreement to be bound by these Terms, the Privacy Policy, and all other operational rules, policies, and procedures that may be published on the Website by us from time to time.

3. Digital Content Licensing Agreement:

The purchase of any Digital Download from Randy's Vault LLC grants you a License, subject to the specific terms outlined herein. This License does not transfer ownership of any Digital Download. Randy's Vault LLC retains all ownership, intellectual property rights, and copyright to all Images and Digital Downloads available on the Website.

• 3.1. Grant of License: Upon successful purchase and download, Randy's Vault LLC grants the Licensee a non-exclusive, revocable, and limited right to use the specific Digital Download(s) for which the License was purchased, in accordance with these Terms.

• 3.2. Non-Transferability: The License granted to you is personal to you and is strictly non-transferable. This License cannot be transferred, sold, sub-licensed, gifted, assigned, or otherwise conveyed to any other individual, entity, or third party under any circumstances.

• 3.3. Permitted Use: Under this agreement, the Licensee has the right to use the purchased Image(s) in any way they choose, provided such use strictly adheres to all conditions and restrictions outlined in this agreement.

• 3.4. Prohibited Uses: The Licensee may NOT use any downloaded Image(s) or Content for:

  • Any illegal or unlawful purposes.

  • On websites or platforms promoting or associated with sex, prostitution, pornography, or drugs (whether legal or illegal). This explicitly includes, but is not limited to, the website "OnlyFans" and similar platforms.

  • Any use that is defamatory, obscene, hateful, or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

  • Any use that infringes upon the intellectual property rights of Randy's Vault LLC or any third party.

  • Any use that implies endorsement of, or affiliation with, any product, service, or entity without express written consent from Randy's Vault LLC.

  • Reselling, distributing, or making the Digital Download(s) available for download by others, except as explicitly permitted by a specific license type (if applicable, and not covered here).

• 3.5. License Revocation: Randy's Vault LLC reserves the absolute right to revoke any License granted under this agreement at any time, for any reason, particularly, but not limited to, a violation of these Terms by the Licensee.

  • Notification and Proof: Randy's Vault LLC is not required to notify the Licensee of said revocation or provide proof of the violation leading to such revocation.

  • Final Decisions: All decisions regarding License revocation are made solely by Randy's Vault LLC and are final.

  • Waiver of Rights: By purchasing a License, the Licensee automatically waives any and all rights for legal redress against Randy's Vault LLC in connection with any License revocation under these Terms.

4. Sales Policy and Refunds:

• 4.1. All Sales Final: All sales of Licenses and Digital Downloads are final.

• 4.2. No Refunds: Randy's Vault LLC provides no refunds for any purchased Licenses or Digital Downloads under any circumstances, including but not limited to, dissatisfaction with the content, accidental purchases, or changes in your needs.

5. Intellectual Property Rights:

All content on the Website, including but not limited to, the Digital Downloads, images, text, graphics, logos, button icons, audio clips, digital downloads, data compilations, and software, is the property of Randy's Vault LLC or its content suppliers and protected by United States and international copyright laws. The compilation of all content on this Website is the exclusive property of Randy's Vault LLC and protected by U.S. and international copyright laws.

6. Disclaimer of Warranties; Limitation of Liability:

• 6.1. As Is Basis: The Website and all Digital Downloads provided are delivered on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

• 6.2. No Guarantee: Randy's Vault LLC does not warrant that the Website will be uninterrupted, secure, or error-free; that defects will be corrected; or that the Website or the server that makes it available are free of viruses or other harmful components.

• 6.3. Limitation of Liability: In no event shall Randy's Vault LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Website or Digital Downloads; (ii) any conduct or content of any third party on the Website; (iii) any content obtained from the Website; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

7. Indemnification:

You agree to defend, indemnify and hold harmless Randy's Vault LLC and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Website or Digital Downloads, by you or any person using your account and password; b) a breach of these Terms; or c) any violation of applicable laws or regulations by you.

8. Governing Law and Jurisdiction:

These Terms shall be governed and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in O'Fallon, Missouri, for the purpose of litigating all such claims or disputes.

9. Changes to Terms:

Randy's Vault LLC reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Website or purchase Licenses after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Website or purchase Licenses.

11. Entire Agreement & Severability:

These Terms constitute the entire agreement between Randy's Vault LLC and you regarding our Website and License purchases, and supersede and replace any prior agreements, oral or otherwise, regarding the Website and License purchases. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
